We did this recently.  Basically it was a reload of the HMC.  IBM has detailed 
instructions; sorry I don't have a link.  I didn't do the actual upgrade but 
IIRC it went something like this:

- Back up HMC config.
- Load new version.
- Restore HMC config.
- Load HMC patches & new firmware for i5.

Then we applied the firmware to the i5 to make it current.

The IBM instructions were pretty good.
