On my Acer laptop, XP Pro SP2 displays a message saying what device
driver is preventing standy mode.  In my case it is the internal
modem's driver.  When I disable the modem in the device manager, my
laptop will enter standby mode.  Since I rarely use the modem, my
default is to leave it disabled.

I have a second configuration I can choose from for a few seconds on
the boot menu which has the modem enabled, or I just enable it on
demad in device manager.

This may not have any direct bearing on your Dell, but I'd hazard a
guess it is some device driver.
