Problem solved!  Don't know if it was the with NC or the closqlcsr=*endmod 
but that did it.  Strongly suspect it was the CloSqlCsr.

     C+     CloSqlCsr = *EndMod
     C/END-EXEC

     C/EXEC SQL
     C+  Select data into :NameWork from zpal01
     C+    where pkey = 'COMPANY   '
     C+  with NC
     C/END-EXEC
     C                   If        sqlcod=0
     C                   Return    NameWork
     C                   Else
