On the non-compete part: I have an acquaintance that recently sold his
consulting business.  Part of the purchase was that he had to sign a
non-compete with a 50 mile radius clause.  After the sale, he had an
opportunity to go back in to a "like" business.  He consulted with his
attorney and was told that he wouldn't violate his agreement if the point of
his employment was 50 miles removed from his old business location.  So, he
now reports to a division in another state but actually still works and
lives here.
