On the non-compete part: I have an acquaintance that recently sold his consulting business. Part of the purchase was that he had to sign a non-compete with a 50 mile radius clause. After the sale, he had an opportunity to go back in to a "like" business. He consulted with his attorney and was told that he wouldn't violate his agreement if the point of his employment was 50 miles removed from his old business location.
