I don't get this at all.  If you've got the required broadband for VOIP, why
would you limit yourself to using a dial modem and its 56k speeds?

Oh, wait.  Are you connecting to an AS/400 that only has dial-up access?

Dial-up over VOIP.  Sounds like a mess waiting to happen.
